1. Introduction

These Terms govern your use of whatsappasistant.com (the "Service") provided by 9ance India Private Limited and its affiliate 9ance Technologies LLC. By signing up, you agree to these Terms.

2. Acceptable Use

You may not:

• Use the Service for spam, harassment, or illegal activities.
• Reverse engineer our software.
• Share your API keys with unauthorised parties.

3. Subscription & Payment

• Fees are displayed on our pricing page.
• We use Razorpay and PayPal – their terms apply to payment processing.
• You are responsible for any taxes applicable in your jurisdiction.

4. Refunds

Governed by our Refund & Cancellation Policy.

5. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect or consequential damages (e.g., lost profits, data loss).
• Our total liability is limited to the amount you paid us in the preceding 3 months.

6. Governing Law & Dispute Resolution

• For users in India: disputes governed by the laws of Madhya Pradesh, India. Arbitration in Bhopal.
• For users in the US/EU: disputes governed by Wyoming law (for 9ance Technologies LLC) – except where EU consumer protections prevail.

7. Data Processing

We process personal data as described in our Privacy Policy. We are both a data controller and a processor (for WhatsApp message content).

8. Service Level

We aim for 99.9% uptime. If we fail to meet this for two consecutive months, you may cancel for a pro-rated refund.

9. Changes to Terms

We will notify you 30 days before material changes. Continued use after 30 days constitutes acceptance.
